The Buyer has read and understood the foregoing and agrees to all portions, thereby constituting this a binding agreement between both parties by submitting this form to Crisanda Inc. The following terms and conditions will apply to any funds sent to Crisanda.
~ ALL DEPOSITS/OR FUNDS ARE NON-REFUNDABLE
& NON-TRANSFERABLE ~
There will be no cash refunds of any kind, for any reason nor any circumstance. This includes, but is not limited to holding fees, deposits, pre-payments, purchase price, shipping charges, or other costs or expenses related to any Affenpinscher/s sold. This means that if you send funds to hold or purchase a Affenpinscher at no time will cash funds ever be returned to you for any reason which includes risk of loss. Provisions for risk of loss have been made as set forth in the contract above.
~ GENERAL RISK OF LOSS ~
Crisanda will carry the burden of risk of loss through the spay surgery, thereafter the burden of risk of loss transfers to the buyer and the Affen becomes the sole responsibity of the buyer. This includes but is not limited to any and all medical expenses, or loss due to injury or death. Crisanda will adminsister all appropriate standards of care during the remaining time the Affen is under their care. Provisions have been made in the contract for risk of loss should a replacement be necessary.

If you have been given access to this page you have indicated to me that you have an interest in proceeding with the purchase of a Affenpinscher from Crisanda. I thank you for your trust in Crisanda's quality, and for your purchase. You have my promise that the Affenpinscher you are getting is one of the best available. If this is correct then we can proceed and I have provided you with two links so that we can. At this time we are moving towards finalizing the sale and with that there are a few business details we have to completed. With the purchase of your puppy there are a couple business tasks that we must do to begin the sale process. Before we can go any further there needs to be an agreement between us and that is what I have provided for you on this page.

A contract must be signed with each puppy sold. The contract covers both parties and is a guarantee & warranty for the buyer. Numerous areas have to be covered so while the contract is a bit lengthy it is thorough coverage for the buyer. The areas covered in this contract are not necessarily problems or situations that Crisanda has experienced, rather areas that other breeders may have experienced, and as a precaution Crisanda has chosen to address them in this contract to clarify and cover both the buyer and Crisanda. I will gladly review the contract line by line with a buyer if needed.

In consideration of the purchase price or other good and valuable consideration, receipt of which is hereby acknowledged by the Breeder/Seller, all right, title, and interest of the Breeder/Seller to the Affenpinscher described below is transferred to the undersigned Buyer(s), subject to the terms and conditions detailed in the contract below. Please read carefully.

** It is the responsibility of the Buyer to be an informed consumer. **

This is a binding contract and the Seller will enforce the content in its entirety. It is advised that all sections of this contract be thoroughly examined and understood before the transaction is completed. The Buyer is to thoroughly review this contract line by line (especially if you are a first time Buyer). Should there be any portion of this contract that are unclear or out of the Buyer’s expertise or knowledge base, then it is the responsibility of the Buyer to ask as many questions of the Seller as needed to clarify areas in question. If at any point you feel that you remain unclear with any portion of this contract, then I request that you ask questions until you understand, or only enter into this contract under the guidance, direction, and representation of legal counsel, or I ask that you not enter into the contract at all.

General Terms and Conditions of Sale

GENERAL WELLNESS & CARE:

The buyer is responsible for a general standard of care and assumes full responsibility of this puppy/dog for it’s physical safety, proper care, nutrition and general well being. When the Buyer takes possession of the puppy/dog, the Breeder/Seller assumes no further responsibility for the following which includes, but is not limited to proper nutrition, vaccinations, overall safety, or exposure of puppy/dog to any or all contagious diseases.

Each Affenpinscher will differ in the time needed to bond with its new family. Please give the puppy ample time to adjust. A period of two to four weeks should be the very least amount of time allowed the Affenpinscher for an adjustment period, and longer if this is an older Affenpinscher or if there are children in the house that they may not be used to. If you are a multi-animal home, please give your new friend and family member a safe and secure place of its own, as well as ample chance (at least 4 weeks) to bond with you and to adjust to its new surroundings. Even if this is your only pet, your new Affenpinscher needs to feel safe and secure for its unique individual personality to surface and for it to bond to you and become secure in its new environment.

The Breeder/Seller assumes no responsibility or guarantees for said puppy/dog after leaving her premises/possession and risk of loss transfers solely to the buyer. Seller is not responsible for landlord disapproval, family disapproval, allergy to animals, conflict with other pets/animals, undesirable animal behavior/s, barking, house breaking, disagreements with neighbors, zoning, city licensures or ordinances, contract dispute, misinterpretation of terminology, or wording in this contract by the Buyer, or for any other reason/s.

GENERAL HEALTH:

To the seller’s knowledge the Affen is in good health at time of sale. The sales contract of the puppy/dog is a guarantee of good health for the first 72 hours after the puppy leaves the possession of the seller, and the puppy/dog appears to be in good health at the time of sale. The Seller knows of no known contagious diseases that the puppy/dog has been exposed to within the past 21 days and the dog does not appear clinically ill. Routine vaccinations and treatment of parasites are standard care and may be necessary follow up and are the responsibility of the buyer.

In most cases a health certificate signed by a veterinarian will be provided at the time of sale (if shipped) at a cost to the Buyer, verifying that the puppy/dog is in general good health. If for any circumstance there is not sufficient time for the Seller to receive a health certificate the Buyer accepts the Sellers guarantee of good health in place of a vet health certificate. It is required by the seller that the buyer takes the puppy/dog to their own veterinarian (at Buyer’s expense) within the first (72) hours for buyer’s own satisfaction and protection. This time period begins when the puppy/dog leaves the possession of the Seller. Failure to do so will render all warranties and guarantees in this contract null and void.

This agreement is made for mutual benefit to protect all parties, and the Seller wishes it understood that under no circumstances would the Seller be held responsible for the puppy’s health or expenses after the puppy leaves her possession. The Seller is not responsible for any exposure to contagious diseases, accidents or injuries, physical or internal after the dog leaves the Sellers care and this is not covered in the health guarantee. Failure of the Buyer to notify the Seller of all health concerns within two business days of receiving the puppy about the initial vet visit or after receiving the veterinarian's clearance or certification of illness will result in forfeiture of all rights. Failure to do so renders this contract and it’s guarantees null and void.

REFUNDS:

The goal of Crisanda is to place our Affenpinschers in loving homes in a timely manner so they may bond with their new family. If a Affenpinscher is held specifically for a buyer, a change of mind can quite often jeopardize the chance for that particular Affenpinscher to be placed in a home while still at a desirable age. A deposit gives you a guaranteed position in line on the waiting list in the same order in which the deposit was received or it reserves a buyer a Affenpinscher that is currently available from a litter. By sending a deposit, a buyer is entering into a legally binding contract both implicitly and expressly to purchase the specified animal for which the deposit was made.

The Buyer agrees to pay for this Affenpinscher in full in order to have her shipped. The Affenpinscher is of the age they are "ready to go" so then the entire purchase price plus shipping is required. The medical expenses/purchase price is non-refundable and non-transferable. Any balances are due (10) ten days prior to shipping the Affenpinscher, and no Affenpinscher will be shipped until all balances are paid in full. For personal pick up: Any balances due at time of pick up are due in cash. No checks or cashiers checks will be accepted.

There will be no refunds of any kind, for any reason or any circumstance. This means that if you send a deposit to hold a Affenpinscher at no time will money be returned to you for any reason which includes risk of loss. This includes, but is not limited to holding fees, deposits, pre-payments, purchase price, shipping charges, or other costs or expenses related to any Affenpinscher sold. This includes and is not limited to any and all future veterinarian expenses no matter the time frame, possible future surgeries, or any form of medical expenses.

The buyer agrees to never seek financial restitution from Seller of any financial amount or for any reason. At no time will the seller refund purchase price, deposit or expenses of any kind for any reason. If deposits are sent prior to an agreement being signed the seller's website stands as notice that all deposits are non refundable. The seller will not return any deposits received due to a buyer's refusal to submit or agree to contract terms and conditions as seller's website clearly states throughout that deposits are not refundable.

RISK OF LOSS:

Crisanda will carry the burden of risk of loss through 12 weeks of age, thereafter the burden of risk of loss transfers to the buyer and the Affen becomes the sole responsibity of the buyer. This includes but is not limited to any and all medical expenses, or loss due to injury or death. Crisanda will adminsister all appropriate standards of care during the remaining time the Affen is under their care. No cash refunds will apply and a replacement of equal or comparable value will be made available as quickly as possible. The replacement offered can be either sex and may not be the same color or have same markings. The Buyer agrees and understands that no cash refunds of any kind are ever returned to the Buyer due to loss for any reason, congenital defects, significant injury, including death. Provisions have been made for the buyer in this contract to cover risk of loss should a replacement be necessary.

STANDARD/SIZE:

The Affenpinscher standard allows for a variation of size within the breed standard. Breeder can give an estimation of size at maturity but cannot and will not guarantee actual size, weight, or appearance of the puppy at maturity.

HOUSEBREAKING:

Due to the housebreaking routine the Breeder/Seller has with her breeding dogs and the overall general housing of her Affenpinschers breeder/Seller cannot and will not guarantee that this puppy/dog is housebroken to the standards and expectations of the Buyer’s household. The Buyer is advised herein that the puppy/dog will have to be acclimated to a household routine, and will need to be trained to what is deemed a “normal” household routine of the Buyer, with a possible thorough housebreaking regiment.

**NO** BREEDING RIGHTS ARE EVER CONVEYED TO THE BUYER:

The Breeder/Seller represents this dog as an AKC registered “pet” Affenpinscher with limited registration papers. Limited AKC registration papers will ONLY be sent to the Buyer upon receipt of proof of sterilization from a licensed veterinarian. No exceptions. Breeding rights are not conveyed to anyone but the Breeder/Seller for the lifetime of this puppy/dog. The Buyer agrees to never use this Affenpinscher for breeding purposes and acknowledges that breeding this dog shall be deemed a severe violation of this contract. The puppy is and MUST be spayed or neutered by 6 months or upon demand.

If the Buyer violates this clause the Seller will seek immediate damages in the amount of $10,000.00 per violated breeding clause violation and Crisanda Inc. will seek to have the Affenpinscher and it's offspring returned immediately to her possession, and the Buyer will be responsible to for all expenses incurred by the Seller in order to locate, find, and return the Affenpinscher to the Seller including, but not limited to all attorney and travel expenses.

Limited registration AKC papers apply.

PLEASE READ CAREFULLY!!!! IT'S IMPORTANT!!!

**NO RESALE OR RE-HOMING CONVEYED TO THE BUYER!:

The Seller does not convey re-homing rights to the buyer at any time during the lifetime of this Affenpinscher. If the Buyer **for any reason** can no longer keep this Affenpinscher it MUST, without exception, be returned to its breeder/Crisanda. The Breeder/Seller agrees to take this Affenpinscher back regardless of age or condition, but there shall be no refund of any kind to the Buyer, or Buyer’s family/heirs/estate/ executors. In the event the Buyer is unable to care for the Affenpinscher for any reason the Buyer agrees to immediately contact the Seller giving her immediate access to the Affenpinscher. The Buyer agrees to return Affenpinscher with it’s signed/released AKC papers to the Breeder/Seller who will have absolute authority to handle further disposition of this Affenpinscher.

The re-sale of the Affenpinscher listed herein is *strictly prohibited and unacceptable for ANY reason**. The Seller/breeder will always retain first right of refusal of this Affenpinscher, or will assign a person to act as her agent to place the Affenpinscher in another good home. That right is never conveyed to the buyer. One has to be very careful in re-homing any Affenpinscher and Crisanda wishes to insure proper placement of ALL of our Affenpinschers are placed in PERMANENT homes and not passed from home to home. The Buyer is obligated to get the Affenpinscher back to the safety of it's breeder.

The Affenpinscher cannot be "gifted", given away, bartered, raffled, traded, or re-sold, leased, nor transferred (either partially or fully), or placed in any breed rescue, private rescue, animal shelter, nor impounded in any way. At no time will the Affenpinscher leave the residence of the Buyer’s home for the purpose of "re-homing" unless the Affenpinscher is being returned to Seller/Crisanda Inc. DBA Crisanda Affenpinschers.

This Affenpinscher can not be advertised or listed in ANY media on-line or otherwise for the sole purpose of resale or re-homing. This includes, but is not limited to a personal website, classified printed media ads, Face Book, Craig’s List, E-bay or any other like website or social media for the purpose of reselling, bartering, breeding, raffling, auctioning, or re-homing. Under no circumstances will said Affenpinscher be sent to another breeder, a breed rescue, local shelter, surrendered to any rescue, or otherwise disposed of, nor shall this Affenpinscher be sold, leased or given away to any person, family, pet shop, research laboratory or similar facility. This Affenpinscher MUST, without exception be returned to the breeder/Crisanda Inc. The Buyer is responsible for all return costs to get Affenpinscher back to it's breeder/Crisanda.

The Buyer agrees that in the event of his/her death the Affenpinscher will remain within the immediate family if possible and not be passed from home to home. If the immediate family determines they want to return the Affenpinscher to the Breeder/Seller, the family must give Breeder/Seller ample and reasonable opportunity to make arrangements to receive the Affenpinscher. All the expenses for return of puppy falls on the estate of the buyer. The breeder/Seller agrees that in the event of her death full legal authority will be transferred to her heirs/executors/estate who shall have full authority to enforce the terms and conditions of this contract.

If the Buyer violates this clause or any other clause in this contract the Seller will seek immediate damages in the amount of $1,000.00 per clause and $10,000.00 per violated breeding clause and Crisanda Inc. will seek to have the Affenpinscher returned immediately, and the Buyer will be responsible to for all expenses incurred by the Seller in order to locate, find, and return the Affenpinscher to the Seller including, but not limited to all attorney and travel expenses. The Buyer is obligated to get the Affenpinscher back to the safety of it's breeder. There shall be no cost to the Breeder/Seller by the Buyer or their family/heirs/executors/estate.

PRICING:

Until a deposit or purchase price is received all price listings for Affenpinscher/services/handling/health certificates and rabies/etc listed above are subject to change as warranted. Shipping charges are quoted at $500 unless stated otherwise.

MEDICAL:

The Buyer shall notify the Breeder/Seller of any major physical or mental disorders experienced by this dog during its lifetime, thereby providing the Breeder/Seller with crucial information for locating possible genetic defects within the bloodlines.

CONTACT:

The Buyer is encouraged to keep in contact the Breeder/Seller for any information needed regarding the background, care, and training of this dog. The Breeder/Seller would appreciate updated photos of the Affen as it grows.

FINAL TERMS OF SALE:

If at any time the Seller decides it is in the best interest of the dog to not go through with the sale the breeder/seller acting for Crisanda,INC. always reserves the right to end a sale and dissolve this contract in it's entirety for any reason without consequence to the seller/Crisanda, INC. All moneies received will be refunded to the buyer at that time.

Should Seller decide at any time that the health, welfare or security of the Affenpinscher or it's pedigree listed herein are possibly in jeopardy, or that the buyer has misrepresented any of their history or any factual information, the sale can be dissolved at any time by the Seller before the delivery.

Vickie Ehrlekrona/Crisanda Inc. reserves the right to dissolve the sale or this contractual agreement at any time the Seller deems the buyer is no longer appropriate for the Affenpinscher, refund any payment that has been received to date for the Affenpinscher listed within this contract, and the contract becomes null and void.

MISCELLANEOUS PROVISIONS

Modification:

Neither this Agreement nor any of the terms of this Agreement, nor any covenant or condition contained in this Agreement may be terminated, amended, supplemented, waived, or modified orally, but only by an instrument in writing signed by the party against which the enforcement of the termination, amendment, supplement, waiver, or modification shall be sought. Any written amendment duly executed by the parties to this Agreement shall be binding notwithstanding the absence of any consideration therefore.

Integration Clause:

The entire Agreement between the parties is contained herein.

Governing Law:

This agreement, and all its provisions, interpretation, and enforcement shall be governed by the laws of the United States of America, in the State of Montana, in the County of Yellowstone. Any action or proceeding brought forth by any party concerning a dispute arising hereunder shall be brought to a court of competent jurisdiction located in Montana, in the county of Yellowstone, or the state the Seller owner is currently a resident in.

Venue:

If any legal action is commenced by Buyer or Seller as a result of this contract, Buyer agrees that the place of venue for such action shall be in the State of Montana, Yellowstone county, in the United States of America. Buyer assents to personal jurisdiction within such venue, regardless of their place of residence, and agrees that any judgment obtained is enforceable within the jurisdiction that they reside in as if obtained within that jurisdiction.

Choice of Forum:

Buyer irrevocably consents and submits to the jurisdiction of the courts of Yellowstone County, Montana and any United States Federal District Court in the district encompassing Yellowstone County, Montana in connection with any suit, action, or other proceeding arising out of or based on this Agreement. This Agreement shall be governed by and construed according to the laws of the State of Montana. Buyer stipulates, agrees and consents that the courts of this state have jurisdiction over buyer and are the proper and convenient forum for any action commenced against seller/buyer. Buyer waives the right to request a change of jurisdiction or venue to a court outside this state and stipulates, agrees and consents that all actions arising under the Montana and commenced by the buyer shall be brought in this state as the proper and convenient forum.

Limitation on Actions:

Any action brought under this Agreement shall be brought within (6) months from the date of execution of the same.

Shipping, and Risk Clause:

Notwithstanding any provisions to the contrary in any other documents related to this Agreement, and regardless of how the Affenpinscher was quoted by Seller (including, without limitation, any quoted Domestic/Incoterm): (a) legal title to the Affenpinscher (AKC/AKC registration paperwork) only after spaying/neutering and risk of loss related thereto shall transfer to Buyer upon 9 weeks of age of the Affenpinscher to buyer’s airport/home; (b) Buyer shall be responsible for all shipping costs and securing appropriate airport pick up and veterinary care for the Affenpinscher thereafter.

Severability:

Any term or provision of this Agreement that is invalid or unenforceable in any jurisdiction shall be ineffective only to the extent of such invalidity or unenforceability and only as to such jurisdiction without rendering invalid or unenforceable the remaining terms and provisions of this Agreement or affecting the validity or enforceability of any of these terms or provisions in any other jurisdiction.

Preparation:

The parties to this Agreement have participated in the preparation of the Agreement. In the event of any dispute or disagreement involving the construction of this Agreement, no inference will be drawn from the fact that any party had principal responsibility for its preparation.

Entire Agreement:

This Agreement is the entire agreement and understanding between the parties regarding its subject matter and merges all prior discussions between the parties. No claimed oral agreement with respect to the matters herein shall be considered any part of this Agreement.

Parties Bound:

This Agreement is binding upon and all inure to the benefit of the parties hereto and their respective heirs, executors, administrators, successors, assigns, agents, employees, principals officers, directors, shareholders affiliates subsidiaries, and related companies.

Attorney Fees:

If any action at law or in equity is commenced by either party to enforce or interpret the terms of this agreement all lawyer fees will be paid by buyer to argue your case. All judgments cannot exceed the cost of said puppy/dog ‘s purchase price. The Parties waive all rights to a jury trial. In the unlikely event of a dispute, Yellowstone County, Billings, Montana has venue.

Force Majeure:

In the event of interruption of Seller’s business in whole or in part by reason of fire, flood, wind, storm, earthquake, war, strike, embargo, acts of God, governmental action, or any cause beyond Seller’s control, Seller shall have the option of canceling or deferring shipment of the puppy/dog by verbal or written notification to Buyer.

Counterparts:

This Agreement may be executed in two (2) or more counterparts, all of which shall be considered one and the same agreement, and shall become effective when one counterpart has been signed by each party and delivered to the other party hereto within 5 days of receipt.

Notices:

All notices, requests, demands, and other communications required by this Agreement shall be in writing and shall be mailed by first class registered or certified mail, as follows, or to such other address as a party may designate to the other in writing:

If to Seller:

Headings:

All section headings contained in this Agreement are for convenience of reference only, do not form a part of this Agreement and shall not affect in any way the meaning or interpretation of this Agreement.

Contract Amendment:

Any changes or additional terms to this agreement must be in the form of an Addendum and signed by all parties.

Amendments or Additional Comments:

Vickie Ehrlekrona of Crisanda Affenpinschers may change agreement as deemed necessary.

Damages:

It is stipulated by and between the buyer and Crisanda Affenpinschers herein, that failure to comply with the conditions of this contract shall constitute a “breach of contract” and liquidated damages for the breach of any covenant in this agreement by the Buyer will be a minimum of $2500.00 per breached occurrence, plus all expenses related to the enforcement of this contract that include but are not limited to, travel, hotel, meals, lost time for work, legal fees and court costs incurred will be paid to the seller(s).

Signatures:

The Buyer will print two copies of the contract, one for each party. The Buyer will then thoroughly read, initial on each clause where indicated, and finally placing their full legal signature on both the Breeder/Seller’s and Buyer’s copies in front of a Notary. The Buyer will then mail both notarized copies to the Seller who in turn will sign off on the two contracts and return one to the Buyer by presenting it to them in person upon picking up their puppy/dog, or by USPS mail within 7 days of Buyer taking possession of puppy/dog. Both parties will maintain a copy of the contract for their individual records. **In order for the Buyer to take possession of the puppy/dog the Buyer must have a notary sign the document. The contract will not be accepted or considered valid until notarized.

FACSIMILE SIGNATURES:

A facsimile or digital on-line version of this signed agreement shall be enforceable as an original if the original contract is lost, destroyed or otherwise unavailable.

The Buyer has read and understood the foregoing and agrees to all portions, thereby constituting this a binding agreement between both parties by submitting this form to Crisanda Inc. By submitting this you are agreeing to the terms and conditions in the contract above. This is a binding contract and the Seller will enforce the content in its entirety.
The following terms and conditions will apply to any funds sent to Crisanda.
~ ALL DEPOSITS/OR FUNDS ARE NON-REFUNDABLE
& NON-TRANSFERABLE ~
There will be no cash refunds of any kind, for any reason nor any circumstance. This includes, but is not limited to holding fees, deposits, pre-payments, purchase price, shipping charges, or other costs or expenses related to any Affenpinscher/s sold. This means that if you send funds to hold or purchase a Affenpinscher at no time will cash funds ever be returned to you for any reason which includes risk of loss. Provisions for risk of loss have been made as set forth in the contract above.
~ GENERAL RISK OF LOSS ~
Crisanda will carry the burden of risk of loss through the spay surgery, thereafter the burden of risk of loss transfers to the buyer and the Affen becomes the sole responsibity of the buyer. This includes but is not limited to any and all medical expenses, or loss due to injury or death. Crisanda will adminsister all appropriate standards of care during the remaining time the Affen is under their care. Provisions have been made in the contract for risk of loss should a replacement be necessary.
